1. Acceptance of Terms

By accessing or using the PairAgentic website and platform located at pairagentic.com (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Way West LLC (d/b/a PairAgentic).

2. Description of Services

PairAgentic operates as a directory and marketplace platform that connects businesses seeking AI agents with third-party AI agents and the agencies that build and manage them. PairAgentic is a neutral intermediary only. We do not develop, operate, own, control, or warrant any AI agent, agency, software product, or service listed on the Platform.

The Platform provides:

  • A searchable directory of AI agents and agencies
  • Listing and profile pages for AI agents and agencies
  • A user review and rating system
  • Lead generation and connection tools for buyers and vendors
  • Optional paid promoted placement programs ("Ripe Placements") that increase listing visibility on the Platform, subject to the separate Promoted Listings Agreement

2a. Promoted Listings

PairAgentic offers paid “Ripe Placements” that increase the visibility of participating agencies and agents within the Platform. Promoted listings are clearly labeled as such. Promoted placement is rotational and does not guarantee a specific position, impression count, or level of traffic. PairAgentic does not alter the content, ratings, or reviews of promoted listings. Promotion does not constitute endorsement by PairAgentic.

3. Marketplace Disclaimer — Please Read Carefully

PAIRAGENTIC IS A PLATFORM, NOT A SERVICE PROVIDER. We do not employ, supervise, recommend, endorse, or guarantee any AI agent, agency, vendor, or service listed on the Platform. Any engagement between a user and a listed agent or agency is solely between those parties.

RESULTS DISCLAIMER: AI agents and automation services may produce unpredictable, inaccurate, or unintended outputs. PairAgentic makes no representation that any listed agent or agency will achieve any particular business outcome, performance level, or result. Use of AI agents involves inherent risk, and you assume full responsibility for evaluating and deploying any product or service found through the Platform.

NO LIABILITY FOR AGENT OR AGENCY ACTIONS: PairAgentic is not liable for any harm, loss, damage, data breach, financial loss, regulatory penalty, reputational harm, business disruption, or any other impact caused by or arising from the actions, outputs, failures, or conduct of any AI agent or agency listed on the Platform.

4. The ‘Verified’ Designation

Where PairAgentic uses the term ‘Verified’ in connection with listings, this designation indicates only that PairAgentic has performed a basic administrative review confirming (a) the listing agent or agency is an identifiable business entity, and (b) the product or service described appears to exist. ‘Verified’ does NOT indicate:

  • An endorsement of quality, performance, or fitness for any purpose
  • A guarantee of security, compliance, or data handling practices
  • Any ongoing monitoring of the listed agent or agency
  • That PairAgentic has tested, used, or independently evaluated the product

You should conduct your own due diligence before engaging any vendor found through this Platform.

5. User Accounts and Listings

To list an agent or agency on the Platform, you must create an account and provide accurate, complete information. You represent and warrant that: (a) you have the authority to list the described product or service, (b) all listing information is truthful and not misleading, (c) your product does not violate any applicable law, and (d) you own or have rights to any content submitted.

PairAgentic reserves the right to remove, suspend, or reject any listing at any time, for any reason, with or without notice, at our sole discretion.

6. User-Generated Content and Reviews

Users may submit reviews, ratings, comments, and other content (“UGC”). By submitting UGC, you grant PairAgentic a non-exclusive, royalty-free, perpetual, worldwide license to display, distribute, and use your content on the Platform. You represent that your UGC is truthful, based on genuine experience, and does not violate any third-party rights. PairAgentic does not verify the accuracy of user reviews and is not responsible for any UGC submitted by users.

7. Intellectual Property

All company names, product names, logos, and trademarks displayed on the Platform are the property of their respective owners. Display of such marks on PairAgentic does not imply any affiliation with or endorsement by those companies. PairAgentic claims no ownership over third-party intellectual property appearing in listings.

The PairAgentic name, logo, platform design, and original content are owned by Way West LLC and may not be used without prior written permission.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAIRAGENTIC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY LISTED PRODUCT OR SERVICE.

IN NO EVENT SHALL PAIRAGENTIC’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PAIRAGENTIC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless PairAgentic and Way West LLC and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your listings, content, or representations; (c) your products or services; (d) your violation of these Terms; or (e) your violation of any applicable law or third-party rights.

10. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall take place in Honolulu, Hawaii. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

11. Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict of law provisions.

12. Modifications

PairAgentic reserves the right to modify these Terms at any time. We will notify users of material changes by updating the ‘Last Updated’ date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
